WISCA Board

All persons accepting positions on the Board of Directors must commit to (1) active participation in, and full support of the activities and goals of the Association; and (2) bring to the board his or her talents and skills or connections to do the same.

The Board of Directors consists of 7 voting members which includes officers (President, President-Elect, Secretary/Treasurer and the Immediate Past President) and 3 At-LargOrganizational Member representatives. Only one representative from each Organizational Member of the Association is eligible to serve as a Director at any one time.

Board meetings are expected to held every-other month, with additional meetings scheduled as needed. Board meetings are general 60-minutes, and held virtually (unless otherwise decided). Board members are also encouraged to participate on committees, attend member events and support association initiatives as available.


Officers

The President shall be the chief executive officer of the Association and, subject to the control of the Executive Committee, shall in general supervise and control all of the affairs of the Association. He or she shall, when present, preside at all meetings of the Association and cause to be communicated to the membership all matters affecting the Association between meetings. He or she shall have authority, subject to such rules as may be prescribed by the Executive Committee, to appoint such agents and employees of the Association as he or she shall deem necessary, to prescribe their powers, duties and compensation, and to delegate authority to them. Such agents and employees shall hold office at the discretion of the President. He or she shall have authority to sign, execute and acknowledge, on behalf of the Association, all deeds, mortgages, bonds, contracts, leases, reports and all other documents or instruments necessary or proper to be executed in the course of the Association’s regular affairs, or which shall be authorized by resolution of the Executive Committee; and except as otherwise provided by law or the Executive Committee, he or she may authorize any officer or agent of the Association to sign, execute and acknowledge such documents or instruments in his or her place and stead. In general, he or she shall perform all duties incident to the office of the chief executive officer and such other duties as may be prescribed by the Executive Committee from time to time. The President shall have served at least one (1) year on the Board of Directors as a Director prior to being elected as President.

The President-Elect will perform all duties of the President during his or her absence and will succeed to the Presidency should the President be unable to complete the term. The President -Elect will succeed to the Presidency at the end of the President’s term. The President-Elect shall have served at least one (1) year on the Board of Directors as a Director prior to being elected as President-Elect.

The Secretary/Treasurer, through the Executive Director or, in the absence of an Executive Director, in his/her individual capacity as Secretary/Treasurer, shall: (a) keep the minutes of the meetings of the Executive Committee in one or more books provided for that purpose; (b) see that all notices are duly given in accordance with the provisions of these bylaws or as required by law; (c) be custodian of the corporate records; (d) have charge and custody and be responsible for all funds and securities of the Association; (e) receive and give receipts for moneys due and payable to the Association from any source whatsoever, and deposit all such moneys in the name of the Association in such banks, trust companies or other depositories as shall be selected by the Association; and (f) in general, perform all of the duties incident to the office of Secretary/Treasurer and have such other duties and exercise such other authority as from time to time may be delegated or assigned to him/her by the President or by the Executive Committee. If required by the Executive Committee, the Secretary/Treasurer shall give a bond for the faithful discharge of his or her duties in such sum and with such surety or sureties as the Executive Committee shall determine. The Secretary/Treasurer shall have served at least one (1) year on the Board of Directors as a Director prior to being elected as Secretary/Treasurer.

The Immediate Past President will serve as an ex-officio, voting member of the WISCA Executive Committee and a voting member of the Board of Directors for a one year period following his or her term as President. The Immediate Past President will serve as the Association historian.


Organizational Member Representatives

Up to 3 Organizational Members may also serve on the board. They serve with the officers to develop and manage the association’s plans and strategic priorities.
